Terms of Service

#1. Who we are
Prop-AI is a group of companies owned by Prop-AI Holding Ltd (DIFC registration no. 9212). These Terms are an agreement between you and the Prop-AI company that provides the service you use:
- Prop-AI Tech Ltd, a company registered in the Dubai International Financial Centre (registration no. 5559, IH-00-01-02-OF-01, Level 2, Innovation One, DIFC, Dubai), provides the Prop-AI website, software and data products, and bills all subscriptions and AI credits.
- PAI Real Estate LLC, Office 313, Al Wasl Building, Sheikh Zayed Road, Dubai (Trade Licence 1198280, RERA Licence 36372), provides real estate brokerage services and an AI property advisor.
In these Terms, "Prop-AI", "we" and "us" mean the company providing the relevant service. By creating an account, subscribing, adding Prop-AI to an AI assistant such as Claude or ChatGPT, or using the website, you accept these Terms and our Privacy Policy.
#2. The services
Prop-AI provides real estate market intelligence for the UAE, including portfolio tools, market data, an AI advisor, data APIs and connectors for AI assistants (together, the "Services").
The Services combine public records, including official Dubai Land Department (DLD) data, third-party sources and our own analysis to produce valuations, rents, yields, scores and other estimates ("Outputs"). Outputs are algorithmic estimates. They are not valuations by a licensed valuer and not official DLD or RERA publications.
#3. No advice
Nothing in the Services is financial, investment, legal, tax or valuation advice. You are responsible for your own decisions and for checking any information before you rely on it.
#4. Accounts
You must be at least 18 and able to enter a binding agreement. You sign in with a one-time code sent to your email or through the Prop-AI sign-in when adding Prop-AI to an AI assistant. Keep your account to yourself, keep your details accurate, and tell us at support@prop-ai.com about any unauthorised use. You are responsible for activity under your account.
#5. Subscriptions and billing
Paid plans and AI credits are billed by Prop-AI Tech Ltd at the price shown at checkout. Subscriptions renew automatically until you cancel; you keep access until the end of the paid period. Fees are not refundable for partial periods, except where the law requires. We give advance notice of price changes. Plan limits are shown on the pricing page. AI credits have no cash value, cannot be transferred and expire as stated at purchase. We may change free plans and plan features at any time.
#6. AI assistants and MCP
You can add Prop-AI to a third-party AI assistant, such as Claude or ChatGPT. Connections use your Prop-AI sign-in; access is limited to your plan.
- The AI assistant is a service of its provider and is governed by that provider's terms and privacy policy. We are not responsible for how the assistant uses, presents or changes our Outputs.
- Answers the assistant gives may be incomplete or wrong. Check important figures in Prop-AI.
- You can disconnect at any time in the assistant's settings or by contacting us.
#7. Acceptable use
You may use the Services for your own property research and your internal business purposes. You must not, and must not let anyone or anything acting for you:
- scrape, crawl, harvest or extract data from the Services by any automated means, including bots, scripts and AI agents, other than through the MCP connector or APIs within your plan;
- use any data or Outputs to train, fine-tune, test or improve an AI or machine-learning model, or to build a dataset;
- copy, resell, republish, redistribute or bulk-export data or Outputs, or use them to build a competing product;
- share your account, or get around usage limits, rate limits or access controls;
- reverse-engineer our models, scoring or methods;
- use the Services unlawfully, or to send unsolicited marketing.
We may monitor use to enforce these Terms, block automated or unauthorised access, and suspend or close access that breaches this section, without refund.
#8. Intellectual property
The Services, Outputs, software, models, databases, designs and brands are owned by Prop-AI Holding Ltd and licensed to the Prop-AI companies, except third-party data. You receive a limited, non-exclusive, non-transferable right to use the Services and Outputs as these Terms allow, for as long as your account or subscription is active.
Data you add, such as your portfolio properties, stays yours, and you confirm you are entitled to provide it. You allow the Prop-AI group to use it, linked to your account, to provide and personalise the Services, to contact you about your properties and related services (such as valuation updates and help with selling, leasing or buying from PAI Real Estate LLC), and to create anonymised, aggregated statistics. Marketing messages are sent only with your consent. If you send us feedback or ideas, we may use them freely, without obligation to you.
#9. Brokerage services
If you ask for help buying, selling or leasing a property, PAI Real Estate LLC acts as your broker. Its services and any fees are set out in a separate brokerage agreement, signed before it acts for you. The AI advisor is a service of PAI Real Estate LLC, powered by AI credits bought from Prop-AI Tech Ltd. Its answers are generated by AI without human review and are general information, not advice; formal advice is given only under a signed brokerage agreement. Property listings shown in the Services are third-party listings; we do not own, verify or offer them.
#10. Data accuracy
Data comes from public records and third-party sources. It may be incomplete, delayed or wrong, and we give no warranty that it is accurate, complete or current.
#11. Liability
The Services are provided "as is" and "as available". To the extent the law allows:
- we are not liable for indirect or consequential loss, or for loss of profit, investment or opportunity;
- we are not liable for decisions you make using the Services or Outputs;
- our total liability for all claims is limited to the fees you paid to the providing company in the 12 months before the claim.
We are not responsible for third-party services, websites or AI assistants, or for delays and failures caused by events outside our reasonable control. Nothing in these Terms limits liability that cannot be limited by law.
#12. Indemnity
You will compensate us for claims, losses and reasonable legal costs caused by your breach of these Terms or your misuse of the Services.
#13. Suspension and termination
You can close your account at any time by contacting support@prop-ai.com. We may suspend or end your access if you breach these Terms or if the law requires, and we may change, suspend or discontinue any part of the Services at any time. Sections 7, 8, 11, 12 and 15 continue after termination.
#14. Changes
We may update these Terms. We will tell registered users about material changes by email or in the Services before they apply. Continued use after they apply means you accept the updated Terms.
#15. Law and disputes
These Terms, and services provided by Prop-AI Tech Ltd, are governed by DIFC law. Brokerage services provided by PAI Real Estate LLC are governed by the laws of the Emirate of Dubai and the UAE. The courts of the DIFC have exclusive jurisdiction over any dispute, unless a brokerage agreement says otherwise.
#16. General
If any part of these Terms is invalid, the rest still applies. We may transfer these Terms within the Prop-AI group. The English version prevails.
